Terms and Conditions

TERMS AND CONDITIONS: CINEMA SCREENING PARTNER PROGRAM

These Terms and Conditions ("Terms") govern the relationship between Young Guns Distribution Pty Ltd ("Young Guns Distribution", "we", "us", "our") and the organisation or individual ("Screening Partner", "you", "your") participating in the Cinema Screening Partner Program.

By confirming a booking, you agree to be bound by these Terms.

RECITALS

  1. Young Guns Distribution operates a cinema screening program for the documentary film LifeBoat: The Untold Chapter of the Vietnam War and associated audio visual material.

  2. The Screening Partner wishes to participate in the program by promoting and selling tickets to a cinema session arranged by Young Guns Distribution.

  3. These Terms set out the rights and obligations of each party in connection with that arrangement.

CINEMA SELECTION AND BOOKING

Young Guns Distribution liaises with a selection of cinemas and will provide the Screening Partner with a selection of available cinema sessions, including:

  • date options;

  • time options; and

  • corresponding venue hire rates.

The Screening Partner selects the date, time and venue that best suits their audience.

Young Guns Distribution will book the cinema on the Screening Partner's behalf following confirmation of the Screening Partner's selection.

Young Guns Distribution will provide you the Screening Partner with a copy of the venue owner's terms and conditions, and in proceeding to sell tickets to the screening you the Screening Partner agree to be bound by those terms and conditions.

It is the Screening Partner's responsibility to abide by the venue owner's terms and conditions upon confirming the booking.

TICKET SALES

Young Guns Distribution will set up cinema ticket sales through TryBooking (www.TryBooking.com). This system is independent and separate to the cinema's own ticketing system, and tickes to your session will not be available on the venues website.

The Screening Partner will be provided with a Unique TryBooking Link ("Unique Link") through which tickets to the session can be purchased. It is important to note that the sale of tickets does not confirm a session.

The Screening Partner is eligible to receive 50% of the proceeds from all tickets sold using their Unique TryBooking Link, less a contribution towards cinema hire.

CINEMA HIRE CONTRIBUTION

The Screening Partner's contribution towards cinema hire is generally 50% of the cinema hire fee applicable to the session.

The exact cinema hire fee will be communicated to the Screening Partner at the time the session options are provided.

SESSION CONFIRMATION AND CANCELLATION

A session booking is confirmed only if 50% of the available tickets to the session are sold by the date that is 14 days before the scheduled session date ("Confirmation Deadline").

If 50% of the available tickets have not been sold by the Confirmation Deadline, the session will be cancelled and all customers who have purchased tickets will be refunded in full.

There is no fee or obligation payable by the Screening Partner in respect of a cancelled session.

If ticket sales have not reached 50% of available tickets by the Confirmation Deadline, Young Guns Distribution may, at its discretion, elect not to cancel the session and instead invite a secondary organisation to sell tickets to the session in order to fill the cinema to capacity.

SECONDARY ORGANISATIONS

The Screening Partner may choose to share the promotion of their session with a secondary organisation, such as a local radio station, club, newspaper or magazine.

Where a secondary organisation is involved, that organisation will be provided with a separate Unique Link to promote the sale of tickets to the session.

The secondary organisation will be eligible to receive 50% of the proceeds from all tickets sold using their Unique Link, less a contribution towards cinema hire calculated on the same basis as for you.

AUDIO VISUAL MATERIAL

Young Guns Distribution will provide the cinema with the digital files required for the screening.

It is the responsibility of Young Guns Distribution to provide the digital files for all audio visual material, including:

  • advertisements;

  • a featurette; and

  • the feature documentary, LifeBoat: The Untold Chapter of the Vietnam War (approximately 82 minutes).

  •

The total audio visual material supplied by Young Guns Distribution runs for approximately 100 minutes.

It is the cinema's responsibility to ensure the smooth and fault-free screening of all audio visual material. Although Young Guns Distirbution will take all resonable efforts to ensure a good experience, we recommend Screening Partners checking in with the cinema to ensure all the technical checks have been conducted satisfactorily.

SESSION WINDOW AND ADDITIONAL USE

The booking is generally for a 3-hour window, unless otherwise stated at the time of booking.

The audio visual material supplied by Young Guns Distribution runs for approximately 100 minutes, leaving approximately 80 minutes of the session window available for the Screening Partner's use.

The Screening Partner may utilise the remaining time in any way they see fit, provided that such use is within the terms and conditions of the venue.

EVENT COORDINATION

Young Guns Distribution will introduce the Screening Partner to the event coordinator at the venue.

The Screening Partner is welcome to arrange any additional requirements for the screening directly with the venue's event coordinator.

Additional requirements such as microphones, lecterns or HDMI connections may attract additional fees charged by the venue. These fees vary between venues. Any questions about what is available should be directed to the venue.

Young Guns Distribution is not responsible for any additional fees charged by the venue for services arranged directly between the Screening Partner and the venue. Additional charges are to be paid to the Venue by the Screening Partner.

PAYMENT

Ticket proceeds will be distributed to the Screening Partner following the completion of the session.

Payment will be made within 14 days ["Payment Timeframe"] of the session date, by Electronic Funds Transfer ["Payment Method"], unless otherwise mutually agreed between Parties.

Young Guns Distribution reserves the right to withhold payment where there is a dispute regarding ticket sales or where amounts are owed by the Screening Partner.

INTELLECTUAL PROPERTY

All intellectual property rights in the audio visual material, including the feature documentary and associated content, remain the property of their respective owners.

The Screening Partner must not reproduce, distribute or otherwise deal with the audio visual material without the prior written consent of Young Guns Distribution.

The Screening Partner grants Young Guns Distribution a non-exclusive licence to use the Screening Partner's name and logo for the purposes of promoting the session.

LIABILITY

Young Guns Distribution's liability to the Screening Partner in connection with these Terms is limited to the amount of ticket proceeds payable to the Screening Partner for the relevant session.

Young Guns Distribution is not liable for any loss or damage arising from:

  • the acts or omissions of the venue or its staff;

  • technical failures in the screening of audio visual material that are the responsibility of the venue;

  • cancellation of a session; or

  • any additional fees charged by the venue.

Nothing in these Terms limits liability that cannot be excluded by law, including under the Australian Consumer Law.

GENERAL

These Terms are governed by the laws of New South Wales, Australia.

Any dispute arising in connection with these Terms will be subject to the non-exclusive jurisdiction of the courts of New South Wales.

Young Guns Distribution may update these Terms from time to time. The Screening Partner will be notified of any material changes prior to their next booking.

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

These Terms constitute the entire agreement between the parties in relation to the Cinema Screening Partner Program and supersede all prior representations, discussions and agreements.

EXECUTION

By confirming a booking with Young Guns Distribution, the Screening Partner acknowledges that they have read, understood and agree to be bound by these Terms and Conditions.
